1. Agreement to these Terms
These Terms of Service govern your access to and use of VetDatalynx, a software-as-a-service platform for veterinary clinic management. By creating an account, requesting a demo, subscribing, or using the service, you agree to these Terms and to our Privacy Policy .
VetDatalynx is intended for use by veterinary clinics, clinic personnel, and authorized clinic clients in the Philippines. If you use the service for an organization, you confirm that you are authorized to bind that organization.
2. Accounts and Authorized Users
You are responsible for keeping account credentials confidential, assigning access only to authorized users, and promptly removing access when staff or contractors no longer need it. You are responsible for activity under your account, including actions by sub-accounts, clinic staff, and users you invite.
You must provide accurate account, clinic, billing, and contact information and keep it updated. VetDatalynx may suspend access if account information is materially inaccurate, if payments are overdue, or if account use creates legal, security, or operational risk.
3. Acceptable Use
You may use VetDatalynx only for lawful clinic operations, including scheduling, client and patient records, inventory, reports, internal billing statements, forms, and client portal access. You must not misuse the service, attempt unauthorized access, interfere with the platform, upload malicious content, violate another person's rights, or use the service for unlawful, fraudulent, or abusive activity.
4. Clinic Responsibilities
Clinics are responsible for the accuracy, legality, and appropriateness of all clinic data entered into VetDatalynx, including client details, pet records, medical notes, prescriptions, appointments, consents, files, billing entries, and communications. Clinics must obtain required consents, provide required notices, and comply with applicable veterinary, consumer, privacy, tax, and professional obligations.
VetDatalynx does not provide veterinary, medical, accounting, tax, legal, or compliance advice. Any templates, reports, forms, reminders, or workflows are operational tools only and should be reviewed by the clinic before use.
5. Billing, Statements, and BIR Compliance
VetDatalynx may include billing, payment tracking, transaction history, and statement generation features for internal clinic management. These features help clinics organize operational records but do not replace tax, invoicing, or accounting systems that must be registered or maintained under applicable law.
This billing module is for internal clinic management, scheduling, and statement generation only. It does not constitute a BIR-registered Computerized Accounting System (CAS). Users are legally responsible for issuing official, registered BIR Invoices for all taxable transactions.
6. Subscriptions, Fees, and Changes
Subscription plans, features, limits, and prices may vary by plan. You are responsible for paying applicable fees, taxes, and charges connected with your account. VetDatalynx may update plans, features, or pricing with reasonable notice where required or commercially appropriate.
7. Data and Privacy
Clinic data remains the responsibility of the clinic that enters or controls it. VetDatalynx processes personal information as described in the Privacy Policy and in accordance with the Philippine Data Privacy Act of 2012, its Implementing Rules and Regulations, and applicable National Privacy Commission issuances.
8. Service Availability and Security
VetDatalynx uses reasonable administrative, technical, and organizational safeguards to operate and protect the service. However, no online service is guaranteed to be uninterrupted, error-free, or immune from all security risks. Clinics should maintain appropriate operational backups and business continuity procedures for critical records.
9. Intellectual Property
VetDatalynx and its software, designs, workflows, trademarks, content, and related materials are owned by VetDatalynx or its licensors. These Terms do not transfer ownership of the platform to you. You may use the service only as allowed by these Terms and your subscription.
10. Suspension and Termination
You may stop using the service at any time. VetDatalynx may suspend or terminate access if you breach these Terms, fail to pay required fees, create security or legal risk, or use the service in a way that harms the platform or other users. After termination, access to data may be limited subject to legal, technical, and retention requirements.
11. Disclaimers and Limitation of Liability
To the maximum extent allowed by Philippine law, VetDatalynx is provided on an "as is" and "as available" basis. VetDatalynx disclaims warranties that are not expressly stated in these Terms. VetDatalynx will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business opportunity, except where liability cannot be excluded by law.
12. Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Any dispute should first be raised with VetDatalynx so the parties can attempt a practical resolution before pursuing formal remedies.
